1. Agreement to these terms

These Terms & Conditions (“Terms”) govern your access to and use of the Seedta website, applications, and related services (collectively, the “Service”), operated from California. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. What Seedta is — and is not

Seedta provides a platform to create and share Seedlings — visible long-term gifts built around milestones, letters, and stories for people you care about. The Service is designed to help you document intentions and celebrate progress over time.

Seedta is not a broker-dealer, investment adviser, bank, or custodian. The Service is not regulated as a financial institution and is not governed by the U.S. Securities and Exchange Commission (SEC) or similar regulatory bodies. Seedta does not hold customer funds, execute trades, take positions in securities or currencies, or provide investment, tax, or legal advice.

Seedta does not make recommendations regarding the purchase, sale, or holding of any security, currency, or other financial instrument. Any references to growth, milestones, or future value within a Seedling are illustrative or emotional in nature and are not financial projections or advice.

3. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service, you represent that you meet these requirements.

4. Your account and acceptable use

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to use the Service only for lawful purposes and in a manner that does not infringe the rights of others or interfere with the operation of the Service.

You agree not to:

• Use the Service to transmit unlawful, harmful, or misleading content
• Attempt to gain unauthorized access to the Service or its systems
• Reverse engineer, scrape, or misuse the Service except as permitted by law
• Represent Seedta as a regulated financial product or licensed advisory service

5. User content

You retain ownership of content you submit through the Service, including names, messages, milestones, and other materials (“User Content”). You grant Seedta a limited license to host, display, and process User Content solely to operate and improve the Service.

You represent that you have the rights necessary to submit User Content and that it does not violate applicable law or the rights of any third party.

6. Intellectual property

The Service, including its design, branding, software, and documentation, is owned by Seedta and protected by applicable intellectual property laws. Except for the limited rights expressly granted in these Terms, no license or other rights are granted to you.

7. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Seedta does not guarantee that the Service will be uninterrupted, error-free, or suitable for any particular purpose. You use the Service at your own risk.

8. Limitation of liability

To the fullest extent permitted by applicable law, Seedta and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Service.

To the extent any liability cannot be excluded, Seedta's total liability for any claim arising from these Terms or the Service will not exceed the greater of (a) the amount you paid Seedta in the twelve months before the claim or (b) one hundred U.S. dollars ($100).

9. Indemnification

You agree to indemnify and hold harmless Seedta and its operators from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.

10. Governing law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute arising under these Terms will be brought exclusively in the state or federal courts located in California, and you consent to personal jurisdiction in those courts.

11. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
